O'Reilly, a director of Oxford Industries, Inc., (the "Company"), informed the Company that having attained the age of 65 he plans to retire from the Company's Board of Directors effective as of the 2005 Annual Meeting of Shareholders, which coincides with the end of his current term as required by the Company's bylaws. Mr. O'Reilly will continue to serve as Group Vice President of the Company. ITEM 5.03. AMENDMENTS TO ARTICLES OF INCORPORATION; CHANGE IN FISCAL YEAR. On July 11, 2005 the Board of Directors of the Company amended Article II, Section 2 of the Company's bylaws by deleting it in its entirety and to reduce the number of members on the Board of Directors of the Company to 10 members effective October 10, 2005.
